Legally they can, however, it's going to look pretty stupid in court if the stock price rises above their purchase. Worse yet in any settlement talks.

"Our client bought your stock at $3 and now the stock is at $50. But he had the opportunity to sell at $4 and rebuy at $1 and didn't and now he can only buy 10 ferraris with his profits instead of 40."
