It's not "the deal," it is just one of many possibilities, and Morey is in charge. If one deal falls through, most likely it will be his decision, and if so he will find another. There are many private companies looking for a tight shell through which they can go public, and few (if any) with a share structure as favorable as AIMH's. Some of you guys don't seem to understand which party in this proposed transaction has the superior bargaining leverage.
