Mineseeker Operations Overseas Limited has acquired the control shares of NHSH

In an agreement with Centacom Holding Corporation and James Owens, majority shareholder of Centacom Holding Corporation, signed on 30th August 2011, Mineseeker acquired the 442,500,000 (four hundred and forty two million five hundred thousand) of the 450,000,000 (four hundred and fifty million) control shares which were being held by Centacom Holding Corporation.

The assignment of the shares to Mineseeker gives full title free of all encumbrances to the shares. All relevant pertaining and associated documents including secured promissory loan notes, security agreements and historical default judgments have also been assigned to Mineseeker with the full written authority of James Owens and the holders of those documents.

The remaining 7.5 million restricted shares are being retained by James Owens with a discounted buy back provision by Mineseeker.

Both parties had agreed that the current situation and uncertainty was untenable.

Mike Kendrick added, ‘It is important that we have taken action to clear up the relationship with NHSH and Centacom Holding Corporation, and opened up the way for us to complete our deal with NHSH which could not happen whilst the corporate structure and reporting of the company was incomplete. NHSH was unable to fully report and this was not acceptable to Mineseeker. We will now seek to bring the company filings up to date, and ensure transparency going forward’.

James Owens, majority owner of Centacom Holding Corporation stated, ‘After the events of the past few months I have decided that my Centacom Holding Corporation group should remain private’. However, I have always been a supporter of the Mineseeker project and want to see the shares in its ownership so that the company can carry on with its important humanitarian and compassionate capitalism objectives. I wish the company great success in the future’.

Mineseeker would like to thank James Owens for his efforts in negotiating this agreement in good faith and his assistance in helping bringing this matter to a satisfactory conclusion.
