A penny stock does not have to go through the DTC but you are right with one thing, brokers are starting to clamp down on sub penny stocks.
IMO, before 2012, all sub penny companies will have to be DTC eligible or they cannot trade on the OTC.
All Nasdaq, Dow, AMEX, OTCQX companies have to be DTC eligible.
Again, all it amounts to is having the shares available electronically.
