Definitive Agreement
A definitive agreement is an essential part of any transaction involving the sale of business assets or stock of a corporation. This document defines in detail all the terms of the purchase and is usually prepared by the acquirer’s legal counsel. The seller’s legal team will make suggested changes.

The closing occurs once the parties agree on the terms of the definitive agreement and they have satisfied or waived all of the conditions. In some cases, the definitive agreement is signed at the same time as the closing. Other times, the parties sign the definitive agreement before the closing, and the closing itself occurs once the closing conditions have been satisfied or waived.

LOI
A letter of intent or LOI is a document outlining an agreement between two or more parties before the agreement is finalized. The concept is similar to the so-called heads of agreement. Such agreements may be Asset Purchase Agreements, Share Purchase Agreements, Joint-Venture Agreements and overall all Agreements which aim at closing a financially large deal.

When Fong closes this, I will agree to a DA, his PR's mean absolutely zero to me because since I have been with CNUV, not a single one has come to fruition except that the Freya deal was not gonna happen. Until he closes this, it is just another LOI with the intent of a Reverse Merger with ol' Fong. He can call it anything he wants. He has to change the words so it doesn't sound too much like Freya.

I stated what was gonna happen with Freya. I knew there was no "FREYA" ,just another one of Fong's reverse mergers. Those guys in Orlando were just there to help develop a shell company. But that was not called a reverse merger, that was an acquisition, right?

The only way this deal is gonna close is if Fong resigns. The folks at Surgline have a legit company and they are not gonna get involved in Fong's sorted past. Why do you think they made the shares restricted (8K)before we even heard the word Surgline.

Hey, don't get upset, I hope Surgline does take over, gets a ticker change and we can all cash in. Either way, if Surgline takes over, I am loading up, I Fong gets out, I am loading up. If Fong stays, I will buy in at .0018 and join in the fun.
