But what is strange and what I dont understand is form D is required within 15 days of a sale so I would expect an earlier form D to have been filed for 2011-04-11.

BUT there is only (1) investor called out on section (14) so this is only one sale to one investor or group for the $199,900.

Apparently Ken is being careful to stay in compliance, but I am still needing to digest it a little.
