Well Kim has close to 1B vote-able shares...so a takeover is unlikely, if he is not willing. Kim is broadcasting that he thinks there could one day be an attempt to take over the company. So he created these preferred shares.... so he would have a voting majority. Not really a threat of a company offering less than acceptable terms anyway.
