Tesla's interpretation would be correct. However, James Refno as a consultant, still had a good faith obligation to provide consulting services. The question is what is the extent of a "good faith" obligation.

BRZL could sue him for breach of contract if he failed to meet his good faith obligation. And if they won they would then get the damages (which would likely be the shares).
