ITEM V: LEGAL PROCEEDINGS:
No member of the B2 Digital Board of Directors has had any type of conviction in the past five years. B2 Digital through Hotel Movie Network worked out
a Settlement Agreement with DirecTV over a Transport Issue. This Settlement was turned into a Judgment as the Company had been unable to make
payments that had been agreed upon in the settlement. To date Paul LaBarre and Ernest McKay have paid several thousand dollars off the judgment by
DirecTV. Hotel Movie Network has been dissolved.
