ITEM 5.03 AMENDMENTS TO ARTICLES OF INCORPORATION OR BYLAWS; CHANGE IN FISCAL YEAR

On May 31, 2005, the Board of Directors of The Hartcourt Companies, Inc. (the "Company") approved a change in the Company's current fiscal year end from December 31 to a May 31. A Transition Report on Form 10-KSB will be filed for the five-month transition period beginning January 1, 2005 and ending May 31, 2005 in accordance with SEC filing requirements for such report.
