Investopedia explains Prospectus

I didn't know what a Prospectuses was so I looked it up.
Now my question is which one is it the Preliminary or Final.
I'm thinking preliminary and that Dutchess hasn't received any of the 40 mil shares yet. So why is the PPS going down? Dutchess is manipulating the stock downward so when the final prospectus is release the PPS will be lower. Once Dutchess receive those 40 mil shares, based on the avg PPS of the previous 5 trading days, They will have 40 million shares at a discount and will dump those shares for a nice profit once the PR is released.
Now here is the problem the number of shares. In the S-1 it said MMTC will recieve $160,000 from the sale of those 40 million shares. Now which is it going to be $40,000 at the sale of 40 mil shares @.001 or $160,000 at the sale of 160 mil shares @.001. I don't know, if somebody with knowledge of the SEC filings could answer that question.
DOGMA

There are two types of prospectuses for stocks and bonds: preliminary and final. The preliminary prospectus is the first offering document provided by a securities issuer and includes most of the details of the business and transaction in question. Some lettering on the front cover is printed in red, which results in the use of the nickname "red herring" for this document. The final prospectus is printed after the deal has been made effective and can be offered for sale, and supersedes the preliminary prospectus. It contains finalized background information including such details as the exact number of shares/certificates issued and the precise offering price.
