What you fail to understand is that doing DD costs money in a corporate merger. Typically the parties agree to examine contracts and obligations of a certain size or larger.

Looking at the smaller ones takes to much time, delays the merger process and costs more than the obligations are worth.

You are right in stating that RKT could examine contracts all the way down to the office paper clip purchase agreements. As a practical matter, it is not worth the time or expense to do so and isn't done.

The future's so bright I have to wear shades.
