Going to the Pink Sheets for failing to file financials is not a violation of SEC regs. It is simply failing to meet a requirement of SEC regs. There is no criminality attached.

HQNT can be a non reporting company as long as it stays on the Pinks.

Forward looking statement could very well cover a deal for an acquisition that fell through post PR.
