Exactly.

Contained in the notes are security agreements granting the note holder the right to foreclose on all of the company's assets.

The only entity that could reasonably use Raptor as a shell is CCE (Dr. Shiong). If you read the 8k carefully, you will see that Dr. Shiong does not appear to be interested in using Raptor as a shell.
