The preferred shares have a VOTING right. ie one preferred share may have 1,000,000 votes attached to it { an example, not a prediction]. It has nothing to do with converting to common shares. Any matter requiring shareholder vote, whether positive or negative, besides common shares being exercised would have the preferred shares counted- which in LLEG case the management preferred shares would produce 60% of the total voted.Thus NO REAL DILUTION OF O/S.

A lot of companies have this provision to assure control by the originating management.
