thats exactly what it is....the S3 is nothing more than a device to allow purchasers of the earlier private placement to sell some of their position on the RUN UP we all KNOW is comimg...if you read the filing you see that most intend to continue to hold a substantial number of shares....they are just taking something OFF the table..........a smart move
