TPI International, Inc. (TPIL) Announces Exchange Agreement with Loopwing Project Co., Ltd.

TPI International, Inc. (OTC Pink Sheets: TPIL), a Delaware corporation (the “Company”) and Loopwing Project Co., Ltd., a Japanese corporation (“Loopwing Project”), have signed a share exchange agreement with respect to the principal terms and conditions under which TPI International, Inc. will acquire one hundred percent (100%) of the outstanding capital stock of Loopwing Project in exchange for approximately seventy-one percent (71%) of the total issued and outstanding common stock of TPI International, Inc.

Based in Tokyo, Japan, Loopwing Project is a sales and marketing company that holds the exclusive Japan and USA distribution rights for renewable green energy solutions including wind, ocean and hydro power systems developed by Loopwing Co., Ltd. (“Loopwing”). Loopwing's innovative line of wind power systems feature a looped turbine which offers numerous advantages over conventional wind turbines such as high power output at low rpm and low maintenance with a high duty cycle. In accordance with the terms of the agreement, all current officers and directors of the Company will resign, and Teruo Watanabe will be appointed CEO, President and Director and Minoru Yoshida will be appointed Chairman.

The November 2010 Letter of Intent that the Company previously signed with Loopwing Co., Ltd. has been terminated.
