What is this clause?:

On February 1, 2011, AppTech entered into an agreement with Oronoco, a provider of
long distance services, whereby AppTech purchased 100% ownership of Oronoco in
exchange for 500 million shares of AppTech’s restricted common stock. The transaction
provides for a claw-back clause concerning 300 million of the 500 million shares if
certain performance measures are not achieved by June 30, 2011.

What are the performance measures and what will happen if they are not met? Who is it that has to meet them? June 30 is just around the proverbial corner!
