Today's CORG filing is from the private placement announced in March. With the treasury stock method, those $2 warrants won't be a problem until the stock price is much higher. Even with the additional 1.5M shares O/S, earnings were .06/share last quarter vs. a loss the prior year. Considering the 426% revenue increase...this stock is a bargain at current levels IMO.

ORLANDO, Fla.--(BUSINESS WIRE)--March 7, 2005--Cordia Corp. (OTCBB:CORG - News), a communications services provider and integrator, announced that it has sold 1,500,000 shares of its Series A Convertible Preferred Stock in a private placement at a purchase price of $1.00 per share, and issued warrants to purchase 750,000 shares of the Company's common stock at $2.00 per share and warrants to purchase 750,000 shares of the Company's common stock at $4.00 per share. The aggregate purchase price for the Series A Preferred and the related warrants was a cash consideration of $1,500,000. The securities were purchased by Barron Partners LP, a private investment partnership.
The Series A Convertible Preferred is convertible at the holders' option into common stock at a conversion price of $1.00 per share. Proceeds from the private placement will be used for general corporate purposes.
