Ridgeland, MS, DEC 12, 2002 (EventX/Knobias.com via COMTEX) -- iVoice Inc (OTCBB: IVOC) filed a Proxy statement, after the session closed on Wednesday.

The shareholders of IVOC have provided written consent for the following:

- increase in the Authorized Class A Common Stock Shares to a total of 10,000,000,000 shares.

- change the stated par value of the Class A Common Stock Shares from the present $.001 to $.0001 per share.

- revise the conversion ratio and voting rights of Class B Common Stock Shares.

- permit Class B Common Stock Shares to receive dividends upon the declaration of a dividend to Class A Common Stock shareholders.

- Authorize the merger of the Company into a newly formed corporation in the State of New Jersey for the sole purpose of changing the domicile of the Company from the State of Delaware to the State of New Jersey.
