The JV is to faciliate the Company to start operation without ownership in the Company but only with a % of the return. The Company can't use this money to buy back shares. After the Company is able to generate its own cash, they can buy back shares.

Look at XOM, out of 10B shares, they have 5B bought back. It is hard to start.
