Got this from IR. We have received quite a few questions regarding the reasons for this process, so here is our best explanation of why. This is just our opinion.
Because this “share exchange” is considered in legal terms as a private placement, the company is not allowed to solicit, nor are they allowed to advertise, anything relating to the exchange. Several shareholders volunteered to establish a shareholder group to assist in the facilitation of the exchange. The shareholder group will be hiring an attorney to set up a trust where the shares will be properly exchanged. It was thought that by doing this, we as shareholders could relieve the burden that would fall on IR as they have many other task on the slate right now.
An NDA is being prepared that will be distributed to each shareholder that has submitted their information to this group. This NDA basically is for the purpose of agreeing that you were not solicited, nor did you arrive here by the results of any advertising, and that you made the initial contact with interest of inquiring into the private placement.
Once the trust is established, all of the contacts submitted here will be turned over to the legal team where it will be handled professionally and confidentially. Your contact information will not be shared.
