My DD:

It has been discussed that Renfro Energy has sold the Cameron Meadows Land Company Lease in March 2010. This property is listed as potentially the most valuable property. This concerned me and others because it seemed as though BRZL no longer would benefit from this asset. The Admiral has continually thrown out bits and pieces of information, which sometimes seemed contradictory. It seems that that a part of the Cameron Meadows property was sold, but they still own a portion of it. I’m having trouble proving that out right so any additional information will be appreciated.

I’m going to attempt to lay out what I think is going on. This will be lengthy, and I apologize if it is something that has already been discussed, or is assumed as common knowledge. It is important for me to understand what is going on, and I’m looking forward to hearing from people who are more knowledgeable in the oil industry and business world in regards to mergers and acquisitions.

Disclaimer – I have a modest investment in BRZL. I’m new to investing, and I’m not very familiar with mergers and the legalese that goes with it. I’m going to provide my opinion of what I think is happening, and will provide links to back up any facts that I find.

According to the Renfro Energy website they sold Cameron Meadows Land Company Lease in March 2010. - http://www.renfroenergy.com/Oil_Gas_Properties_PAGE.htm

I haven’t been able to find definitive proof of who purchased CMLC, but according to the letter of intent to enter into a purchase agreement between Renfro and BRZL, Renfro is selling this lease- Oil, Gas and Mineral Lease dated March 21, 1927, executed by Cameron Meadows Land Company. Obviously, he cannot sell something he doesn’t own.

August 20, 2010 – Letter of intent http://www.faqs.org/sec-filings/100820/Brazos-International-Exploration-Inc_8-K/brazosloiex996.htm

Such lease affects all of Section 16, Township 14 South, Range 13 West covering 783 acres, more or less.

There has also been discussion about pumping already going on. The admiral has provided this link – Which shows that Petroleum Capital, L.C is the operator for the Cameron Parish School board well - http://sonris.com/cons/pre-run/gas_proration_lafayette.pdf He also provided a link that seems to show the managing member of Petroleum Capital is James Renfro - http://reservepetroleumcalifornia.com/operators/petroleumcapital.html

I’ve found some more links between the two:
The Renfro Energy website page that shows correlation to Petroleum capital. I can’t seem to get there straight from the website as the page seems to have been updated- http://www.renfroenergy.com/Company%20Profile.htm

Current page - http://www.renfroenergy.com/Company_Profile.htm

This is a filing that shows connection to Renfro and Petroleum Capital, L.C. Looks like Renfro Energy is a holding company for Petroleum Capital http://www.faqs.org/sec-filings/100820/Brazos-International-Exploration-Inc_8-K/

Here is the highlight of the document –

Business History
RENFRO ENERGY, LLC, Dallas, TX 03/02-Present
President and Founder. Holding company for oil and gas assets. All operations conducted by affiliated company, Petroleum Capital, L.C.

PETROLEUM CAPITAL, L.C., Dallas, TX 06/93-Present
President and Founder. Oil and gas operating company with up to 150 company owned wells located in Texas, Louisiana, and Oklahoma. Company closed 12 acquisitions in last fifteen years with institutional lenders such as Associated Energy Managers, Tenneco Ventures, Chase Bank, Capwest Resources, Inc., Sterling Bank, and Sovereign Bank.

It appears that the Renfro Energy is a holding company for Petroleum Capital. I don’t remember hearing this before. So does Petroleum Capital automatically come in under BRZL, or is this part of the plan to bring in significant acquisitions within the first three months? I think this is important information.

This link also provided by the admiral shows that there is gas drilling going on in the Cameron Parish School board. - http://sonris-www.dnr.state.la.us/web_post/lafa_sct.pdf

I’ve found this link - http://webcache.googleusercontent.com/search?q=cache:2iGilYdoEvIJ:sonris-www.dnr.state.la.us/dnrservices/redirectUrl.jsp%3FdID%3D3743833+apollo+energy+operating+company+cameron&cd=2&hl=en&ct=clnk&gl=us&source=www.google.com

Make sure you check out the final plats link on page three. There is also a PDF viewable from the top of the page. Also, please notice the dates associated with all of these. I still haven’t found a definitive document that states the owner is renfro, can anyone else confirm?

Last quarterly report(2-11-2011) shows they were a shell - http://www.sec.gov/Archives/edgar/data/1420924/000109635011000036/f12312010q1.htm

Amended Annual report(3-09-2011) shows they are no longer a shell and Renfro is listed as a director- http://www.sec.gov/Archives/edgar/data/1420924/000109635011000046/brazos10ka.htm

I know that this was a lot of information, and I certainly didn’t answer all questions, but I feel confident that things are moving along. I believe that BRZL will ultimately own the property/lease in the Cameron Meadows area and project 4 will occur. I also believe that the connection to PETROLEUM CAPITAL, L.C will play a major role in the market share of BRZL. If not immediately then within the first year. The SEC filings outline the assets of the sale and show that BRZL is no longer a shell company with Renfro listed as a director. My opinion is that James Renfro has been building this masterpiece for the past 18 years. He has 480 million shares and the assets to put this all together. Just think about what a pps between $1-5 does for someone with that many shares. If he has the reserves that are projected he will be a very rich man. I think he wants to do this right, and that is why it has been delayed.
