TADF was late in filing their financial reporting, that is all. This is not uncommon for OTC stocks and is nothing major, especially when the complexity of a merger is factored in.

There is clearly a short interest in TADF and there are some posting on this board that will do anything to create panic or sow rumors.

Be aware of that and recognize this. Then ignore it. We are waiting for the merger, and not here to help a shorter cover.
