Im pretty sure pinksheet co's can only sell shares to accredited investors. to be accredited i believe you need a million bucks in the bank plus other requirements... Also, shares purchased would likely have restrictions attached. example:

restricted 6-12 months, preferred stock with special conversion terms, such as only a small % sold per quarter... etc..etc

So why should to buy at market price?
