SEC rules state that "A related party means any of the following:

*A Director
*An Executive officer
*A 'beneficial owner' of 5% or more of the company
*A person known by the Company to be an immediate family member of any of the foregoing.

An "Immediate Family Member" includes siblings, spouses, in-laws, children, parents, step-parents or live-in lovers (sharing the same house) with any officer, director or beneficial owner.
