I read the whole filling ,The Conclusion is :

1. There was NO DILUTION prior to the filling , usually OTC keep diluting and when Zillions of shares out , then they do R/S to repeat all over the dilution , Here as I suspected , there was no Dilution , according to the filling with SEC they still have around 185 mil shares, out of which 50 Million shares restricted (Could not be traded) so tradable shares are around 135 mil

2. Since the OS of 185 mil is very low in OTC world , why they want to do R/S and have the OS around 18 million shares ? I dont know the exact answer , I read the filling and No clear answer other than generic language . I talked to Jassica , await talking to Juan , well its Easter , but I should get answer in few days .

3.I am interested in seeing the full financial filling that been delayed . something is cooking !!

4. I repeat , there was no toxic dilution , and thats good news , usually following Toxic diltion , there will be R/S of about 1000-1 ( Look at PDMI) here they talking about 10-1 R/S ..we still dont know why they want the OS to be less than 20 mil , do they have TENDER OFFER ??? I dont know
