(b) Effective May 16, 2007, Earth Biofuels, Inc. (the "Company") accepted the resignation of Mr. Tommy W. Johnson as a director and officer from the Company and its subsidiaries. Such resignation is not due to any disagreement with the Company. Further, the Company extended its appreciation for his service.
