Think of it as a tender offer where the consideration is paid in Centaflix shares. QASP will continue as a "public" stock (for whatever that's worth) with a large holder (minority or majority depending on how many shares are sold). If more than 90% of shares are tendered, Centaflix can do a short-form merger to close out the stub.
