Represents the final purchase of shares pursuant to the terms of a Securities Purchase Agreement dated September 10, 2009, as amended on December 23, 2009, between the Registrant and Noam Elimelech Ltd. ("Noam"), an Israeli private company wholly owned by Mr. Ganot (the "Agreement"). Under the terms of the Agreement, Noam purchased over a period of sixteen months a total aggregate amount of 150,000,000 of the Registrant's shares of Common Stock in exchange for an aggregate purchase price of $1,500,000.
