On March 25, 2011, Encore announced that it had received a proposal from Vanguard to acquire each of its outstanding common units in exchange for 0.72 units of Vanguard. This proposal values the units of Encore at $23.20 per unit, which offer virtually no premium over the pre-existing trading price for Encore units.
