I read your post regarding the requirements for merger, however, you are assuming it is a reverse merger. The purchase in my point of view is MM owns all three companies now separately or PLC which is owned by MM owns Sunlogics as claimed. If he is the owner of the fund also, how does any one know whether the 40 mil shares will be paid directly to him for the fund. It may sound like a merger but it would actually be a change of control of the fund only.It would be owned by SLMU and MM would own a tremendous amout of SLMU. The audit of the fund may not be necessary or if audited, imo, it would show a zero value on the books of SLMU in either event.That is the potential problem with the "merger" Valuation and violation of corporate responsibility.
