Canadian mining company Diamond Discoveries International Corp. is engaged in merger talks, a source close to the negotiation process told Mergers & Acquisitions.
The Burlington, Ontario-based explorer previously planned on participating in a joint venture, but now it’s “close to doing something [with] an M&A deal,” the source said without disclosing details on the other party involved except that it’s a publicly traded entity in the low to middle market.
Initial discussions between DDI and the potential buyer took place earlier this month at the Prospectors and Developers Association of Canada conference in Toronto, the source added, where various mining companies and investors gathered for a four day event beginning March 6.
DDI is attempting to raise about $2 million in capital over the next few months to fund its Caribou mining property in southeast Quebec, the source said. A merger would help spur the process along.
On Dec. 2, the chromium and gold-focused company acquired 41 mineral claims totaling 2,460 hectares (6,078.8 acres) adjacent to its existing property. Terms of the purchase were not disclosed.
So far, DDI has not hired an investment bank to advise the pending deal. Peter Gennuso of New York-based Gersten Savage LLP is providing legal counsel. Calls to DDI and Gennuso were not returned.
Pink-sheets listed DDI, which trades under the ticker DMDD, has a market cap around $7.2 million.

Operations
Diamond Discoveries has completed Phase I exploration on the Caribou Property where there are eleven confirmed deposits and showings. Historical drillings, samplings and extractions reported on the Caribou Property have shown substantial concentration of platinum, palladium and rhodium (collectively, Platinum Group Elements or “PGE”), in addition to substantial historical chromite resources. The 2008 National Instrument 43-101 report authored by Geologica Groupe-Counseil Inc. (“Geologica”)provides detailed technical description of the property.

(DMDD:PK), a U.S. company focusing on chromium, platinum group elements(PGE) and gold exploration on it’s 100% owned Caribou Property in Thetford Mines, Quebec, Canada is pleased to announce the acquisition of an additional 41 mineral claims totaling 2,460 hectares on the northeast corner of the existing property adjacent to Nevado Ventures (TSX-V:VDO.v - News) and less than 2 miles from Bowmore Exploration Limited (TSX-V:BOW.v - News).This acquisition brings the total land package to 143 claims representing 6,236 hectares.
A press release issued on October 12, 2010 by Bowmore Exploration Limited (TSX-V:BOW.v - News) titled, Bowmore Outlines Broad Gold Anomalies in Southern Quebec, stated that their “Exploration program initiated in late 2009, that targeted the belt for near-surface, bulk tonnage, sediment hosted deposits of similar type asKinross’ Paracatu mine in Brazil (reserves of 1,430 million tons grading 0.40 g/t Au for 18 million ounces gold),or the Russian Sukhoi Log deposit, containing total unclassified resources of approximately 48 million ounces gold grading 2 g/t Au.”
Diamond Discoveries plans to continue on its exploration program that it commenced in 2008 that resulted in high chromium values in multiple areas. Six(6) samples from the American Chrome Junior Showing returned composite assays of 10.72%Cr203 over 5 meters and .4g/t PGE (platinum, palladium and rhodium).This composite included a 1 meter grading of 21.47% of Cr203 and .5g/t PGE.
In addition to chromium the Company also has gold discovery potential on its Caribou Property.
One grab sample returned grade of 12,3 g/t Gold and 60g/t Silver and 2.9% Copper on the northeast part of the property(GM 22358 Assessment Report from MRNF).
Plans for 2010-2011 include additional surface sampling and phase one drilling of 3-5 targets totaling 1-2,000 meters for chromium values and 3-5 targets totaling 1-2,000 meters for gold values.
Thetford Mines and the Southern Quebec Appalachian Belt have a century long history of mining and are known for their numerous chromite, asbestos and copper deposits. The region was the site of Canada’s first placer gold rush on the 1850's, decades before the Klondike in the Yukon.

The Caribou property is located approximately 200 kilometers NE of Montreal, Quebec and at 5 kilometers south of the City of Thetford Mines, Quebec. The property consists of 143 mining claims totalling 6,236 hectares.
Several explorations and exploitations works were completed on the property and in the area since 1835 today.
Eleven (11) deposits and showings are presents on the Caribou property (Montréal Mine, Caribou Mine, American Chrome Deposit, American Chrome Jr., Finneth, César, Dumais, Vaillancourt, Gagné, Greenshields and Lambly-Nadeau/Victoria Mines). These deposits and showings show good potential for chromium and platinum mineralizations, Compiling and analyzing all previous work led to sensing a very close relationship between the cumulate sequence of the Thetford Mines Ophiolitic Complex, chromiferous mineralization, and Platinum Group Element (PGE) mineralization.
More than eleven (11) known chromite deposits and showings on DMDD’s property were recognized and defined until today. The results of the past work are very interesting and significant for DMDD since they not only confirm the presence of platinum and palladium on the Caribou Property, but also seem to show that PGE mineralization is preferentially associated with the contact between the ultramafic and mafic units of the Thetford Mines Ophiolitic Complex. The latter observation opens up very great exploration potential since more than 10 km of the contact is present on the Caribou Property. Large-scale mapping of the contact led to identifying new PGE showings.

Moreover, the recent sampling on the Starchrome showing by Amseco Exploration Ltd., immediately to the south of the Caribou property, has confirmed the possibility of finding economic grades of platinum and palladium. In fact, a grab sample (sample SC-1) has revealed 15.93 g/t Pt,Pd and 0.427 ppm Rh (Press Release dated March 06,2008). Previously a channel sampling carried out by Allican had revealed a total platinumpalladium value of 2.61 g/t, 3.83 g/t, and 4.66 g/t over widths of 4.7 m.v

A total of 34,000 tons of ore has been produced from the periods of 1894-1899, 1901-1903, 1907-1910, 1915-1918, and 1941-1949, with an average grade of 40.44% Cr203 (27.67 CR) were produced.
