I know I have purchased....

companies, not public, and in years past I was always instructed by my attorney to do so by forming my own corporation and doing an asset purchase agreement. This is done to avoid prior ownerships liabilities tied to the corporation that may be of past occurances.

Today however my attorney has canned language which allows me to purchase the corporation with protective language which keeps me immune to the prior owners liabilities if they are discovered after or before the fact....

Do we all really think with a merger in the works this has not already been handled, thats if it is an issue to begin with. I am just giving Fire lane the benefit of the doubt..
