I've lost count how many times I have read on garbage pink stock boards that restricted shares somehow "don't count" as dilution!

Sorry, but they ARE dilution. Just because they are not immediately available for sale changes NOTHING. All stockholders percentage of ownership in the company is IMMEDIATELY reduced as soon as the restricted shares are issued. THAT is dilution, PERIOD!

Lastly, all restricted shares become unrestricted, typically in a year. So then they can be sold. In the long run, the distinction of restricted shares is meaningless.
