Surf: IMO you are spot on. As I have been alluding to, there is serious question as to Jeff's legality as CEO. Obviously, enough to cause Centa to put a brakes on the closing.

Now for those that are wondering about a vote. The board can reject a merger on behalf of shareholders. The suitor (Centa) could pursue a proxy fight and go straight to the shareholders (aka a hostile takeover).
