An Amendment to the Certicate of Incorporation whereby the name of the Company is changed to Kenery Scientific,Inc. 3. The number of members of the board of Directors shall be three 4. Election to the Board Director: Kenneth P. Glynn 5. A reverse stock split of the Class A Common Stock of a ratio not more than one (1) to one thousand (1,000) to be determined and authorized at the discretion of the Board of Dirctors within the next two years from the date hereof 8. Authorize the President of the Company to execute and file with the State of New Jersey an Amendment to the Certificate of Incorporation to effect the actions authorized above.
