American Security Resources Corp.(Pinksheets: ARSC) has signed a Letter of Intent to acquire iVoice (OTCBB:IVOI) as a merger vehicle to spinoff its wholly owned subsidiary, Hydra Fuel Cell Corporation (www.hydrafuelcell.com ), in a special dividend to the shareholders.
Now really folks.. doesn't this raise any eyebrows ?? Why do they "need" a merger "vehicle" ?? Why can't they just spin-off Hydra by itself if it is in fact a "wholly owned subsidiary" ??
All adding a merger vehicle does is muddy the waters by confuse the issue with people which I believe to be their intent. And oh, delays associated with SEC filings is a nice touch too.
