What, pray tell, is your source for this affirmation? You seem to cluster all "material" events into a single category for disclosure purposes. Doesn't such generalization disregard the various triggering events, depending on the "material event" at issue?
Presumably you are referring to the broad scope of "Regulation FD." If so, do you not recognize that public disclosure pursuant to that regulation is not required automatically upon the happening of the material event?

If I am incorrect in my aforesaid assumption, then please enlighten me as to the requirement that a corporation "is compelled to report any material event," without qualification. There comes a time for all such reporting, but it is not necessarily immediately at the time of the occurrence.
