DGLP my take

Initial 1.5M in cash from Local.com will be used to pay off current debt

Additional 7M (depending on performance objectives) delivered to shareholders over the next 3 years.

Digitalpost still has their remaining assets (including Family Post) to liquidate (or Reverse Merger perhaps?)

Clean shell with very favorable S/S will be left after DGLP operations cease.

The way I see it, in a nutshell, we have the possiblity of a RM by a company looking for a clean shell AND over the next 3 years we will be recieving earn out payments (dividends?). Seems like a win win scenario to me.
