Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year

On February 4, 2011, the Board of Directors (the “Board”) of EVCARCO, Inc. (the “Company”) approved the amendment to our Articles of Incorporation to increase authorized capital for Class B Convertible Preferred Stock in the amount of 20,000,000 shares.

On February 9, 2011, we filed the Amended Certificate of Incorporation with the Nevada Secretary of State.
