Let me know if I am wrong.

The company files a Form 10. Gets some shares Authorized. In filing the forms all the information is in there. The company then has lets say 100 shares. Of these 100 shares, they can offer to a dealer or MM 50 shares. They keep back 50 shares in a reserve. Later when they need the shares, they can use the other 50 without filing again.

Does this sound right? I am just asking.
