Why would CFO sell 2.5mil Preferred A at .04?

This was a debt conversion, but he wasn't required to sell at .04, was he? The stock was trading at around .03 on the open market at the time of the conversion, so its not like he was selling for a huge premium. Just trying to make sense why I should buy, if he thought the company wasn't worth more than .04?
