all they need do is give him restrictd stock because he is control person by virtue of his clauses giving him veto powers on things like loans and nonpublic information. he cant claim he didnt get the stock and would have to sue saying all prereqs for unrestricted are met. he wmay lose. but instead these companies put forth lame theories
