"Here’s the detail of the filling (fill me in if I miss something important. Of course I am only reporting the good news :)

CYI (76% owner of Yuchai) – gives up the golden share in exchange for:

1. Chinese management to adapt best corporate governance practice – including SarbOx!
2. Board members 9 (CYI) to 4 (Chinese) – why did they need the golden share to begin with?
3. China management needs consensus before investing in other business initiatives
4. $40M loan (the marketing arm) will be converted into equity of a Newco to be listed on NYSE. (Newco is the combination of existing CYD + $40m). – I like this as the marketing firm is doing well. We already know that. CYD owns its own distribution channel. More money to the top and bottom lines!
5. Dividends owed will be declared in the amount of RMB 300m. "
