Current Financial Situation: The Company continues to actively search for an equity
investor to assist it in eliminating its debt and providing the Company with working capital to fund
current and future growth objectives. It is not the intent of management to continue to convert
convertible notes and debentures into common shares for subsistence funding as the vehicle for its
future growth objectives.
