mc: SEC/NASD mandate that a beneficial owner holding 5% or more of the O/S of a public company declare his/her interest. As an aside, a "non-affiliate" holding 10% or more of O/S is deemed an insider as is an "affiliate" (entity or person with direct control) regardless of percentage holding. Songkram Roy Sahachaisere held 100 million shares of HFBG on Dec 31 2009. Hence, the Company's declaration of Sahachaisere as a beneficial owner of 5% or more of O/S. As the O/S has increased dramatically since that date and 100 million shares constitute far less than 5% of O/S now, we may never learn the disposition of Mr. Sahachaisere's HFBG stake at this time.
