So here goes:

LLC = Loan + 1.75B shares CWRN

I have no idea where the Loan came from or how much it is!!

Pan American Mineral Ventures S.A.de C.V.:Mexican
Joint Venture for no other reason then to meet Business requirements in Mexico. J.V between CWRN and LLC??

CWRN:
Will become Pan American Mineral Ventures, INC.

INC. Different from LLC and S.A.de C.V.

ASSUMPTION: ASSUMPTION:(if it were me.)

When CWRN makes money they pay off Loan to whomever owns the debt. FIRST.

This leaves 1.75B shares in LLC hands(85% of CWRN). .3B Float(15% of CWRN).

IF I understood the Pr correctly the buyback would incorporate the purchase of Public shares. As those shares are retired then a 'PROPORTIONATE' number of the LLC shares would be retired. NOW they are not FREE!! So on average the 'COST' whatever CWRN pays Publically for Float they will pay for 'Controlled' shares.
Clearer: If CWRN spends $10 million buyback, they will spend $1.5 million buying Public Float and $8.5 million Controlled shares from LLC. Thus reduction the total O/S.
