Section 4.3. Capitalization. As of the date hereof, the authorized capital stock of the Company consists of 1,000,000,000 shares of Common Stock, par value $0.01 per share and 25,000,000 shares of Preferred Stock of which 441,151,029 shares of Common Stock were issued and outstanding. All of such outstanding shares have been validly issued and are fully paid and nonassessable.


Does this mean that there is approximately 1/2 billion shares of common stock can still be sold on the open market? Does anyone know how many of the outstanding shares are held by insiders and thus what the float is? From the SEC filing, Cornell will buy common stock. Does anyone know who holds the preferred stock and what the conditions/restrictions of said preferred stock are?
