I believe an agreement could be structured to "convert" shares specifically for moving to the new exchange, while maintaining current shareholder value. It's their company thus they can make the terms as shareholder-friendly as they want. Penny stocks have a reputation for doing all kinds of nefarious financial engineering, but it doesn't have to be the way.
